Downstage Media’s Small Group Marketing Cohort
Effective Date: January 1, 2025
By subscribing to and participating in Downstage Media’s Small Group Marketing Cohort (“Program”), you (“Participant” or “Client”) agree to the following Terms and Conditions. Please read these terms carefully, as they form a binding agreement between you and Downstage Media, LLC (“Company”).
1. Program Overview
Downstage Media’s Small Group Marketing Cohort is a membership-based community designed to provide education, coaching, and peer networking for small business owners and marketing professionals. This Program is strictly for educational purposes, and success is dependent on each Participant’s effort and application of the material.
2. Payment and Subscription Terms
The Program fee is charged on a recurring basis as outlined at the time of purchase.
Payment must be made via the authorized payment method (e.g., credit card, PayPal, Stripe).
Failure to pay may result in suspension or termination of access to the Program.
Cancellation: Participants may cancel at any time, but payments already made are non-refundable.
3. Refund Policy
No refunds will be provided after 30 days from the original purchase date.
If a refund request is made within 30 days, it must be submitted in writing to [Company Email] before 11:59 PM EST on the 30th day.
If you have accessed course materials, attended coaching calls, or received Program benefits, the Company reserves the right to decline a refund request.
4. Participant Responsibilities
By participating in the Program, you acknowledge and agree that:
You are fully responsible for your own progress and results.
The Company does not guarantee specific outcomes or business success.
You will engage professionally and respectfully with other participants.
You will not share, copy, or distribute proprietary materials from the Program.
5. Confidentiality and Intellectual Property
Any content, strategies, or insights shared by Downstage Media or fellow Participants shall be treated as confidential.
The Program’s materials are copyrighted and provided for individual use only.
Participants may not reproduce, distribute, or resell any content, tools, or frameworks without written permission.
6. Code of Conduct
To maintain a professional and collaborative learning environment, Participants must:
Treat all members with respect.
Avoid spamming, soliciting, or promoting external products/services within the community.
Refrain from disruptive behavior that negatively impacts other Participants.
Failure to comply may result in removal from the Program without refund.
7. Rescheduling and Missed Sessions
Group coaching calls and sessions will not be rescheduled for individual Participants.
If you miss a session, you may access available replays (if provided).
8. Termination Policy
Downstage Media reserves the right to terminate a Participant’s access to the Program without refund if:
The Participant violates these Terms and Conditions.
The Participant engages in harassment, illegal activity, or otherwise disrupts the Program.
The Company deems continued participation to be detrimental to the community.
9. Limitation of Liability
Participation in this Program is at your own risk.
Downstage Media shall not be liable for any losses, damages, or injuries resulting from participation in the Program.
The Company makes no guarantees regarding specific financial or business results.
10. Amendments and Modifications
Downstage Media reserves the right to modify these Terms and Conditions at any time.
Changes will be communicated to Participants via email or posted on the Program website.
Continued participation after changes have been made constitutes acceptance of the new terms.
11. Governing Law and Dispute Resolution
This Agreement is governed by the laws of New Jersey, USA.
Any disputes shall first be resolved through mediation.
If mediation is unsuccessful, disputes shall be settled via arbitration in Union County, NJ.
12. Agreement to Terms
By subscribing to the Small Group Marketing Cohort, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
